These Terms and Conditions govern your use of Devswire services, including software development, web operations, domain and hosting support, SEO, digital marketing, and managed email/SMS services. By engaging our services, you agree to the terms below.

Effective Date: April 17, 2026

1. Acceptance and Eligibility

You represent that you have authority to act on behalf of yourself or your organization. Use of Devswire services is subject to these terms and any applicable statement of work, proposal, or written service agreement.

2. Scope of Services

Service scope is defined by your confirmed package, proposal, or agreed deliverables. Scope may include:

  • Custom web and software development, deployment, and support.
  • Domain, DNS, and hosting setup or operational management.
  • SEO and digital marketing implementation and reporting.
  • Email and SMS campaign setup, execution support, and performance monitoring.
  • Maintenance, troubleshooting, and optimization services.

3. Client Responsibilities

  • Provide accurate project requirements, approvals, and lawful content.
  • Provide timely feedback and access credentials required for delivery.
  • Maintain ownership or licensing rights for all assets and data provided to Devswire.
  • Ensure lawful consent for all contact data used in email/SMS communications.
  • Secure your own account-level access, including password and access management.

4. Domain and Hosting Terms

  • Domain registrations are subject to registrar and registry rules, pricing, and verification requirements.
  • Client is responsible for renewal approvals and payment unless otherwise contractually managed by Devswire.
  • Hosting uptime may be affected by upstream providers, scheduled maintenance, force majeure, or cyber incidents.
  • Backup, restore, and disaster recovery obligations are governed by the selected hosting and support plan.

5. SEO, Email, and SMS Compliance

Client remains responsible for legal compliance of audience data and message content. Devswire may suspend campaigns that appear unlawful, deceptive, or in violation of platform or regulatory rules. Performance outcomes in marketing depend on market factors and are not guaranteed.

6. Fees, Billing, and Taxes

  • Service fees, payment schedule, and billing currency are defined in your approved quote or invoice.
  • Recurring services renew according to the selected billing cycle unless cancelled per agreement.
  • Late payments may result in service suspension, delayed delivery, or additional administrative charges.
  • Applicable taxes, duties, and third-party platform charges are the client's responsibility unless stated otherwise.

7. Cancellation and Refunds

Refund eligibility depends on service type, progress, and committed third-party costs. Domain registrations, renewal fees, and certain consumed resources are generally non-refundable once processed. Any exception must be confirmed in writing by Devswire.

8. Intellectual Property

  • Client retains ownership of their pre-existing materials and lawful content.
  • Upon full payment, custom deliverables created specifically for the client transfer per the agreement terms.
  • Pre-existing frameworks, utilities, templates, and internal tools used by Devswire remain Devswire property unless explicitly assigned.
  • Unless restricted by NDA, Devswire may reference completed work in portfolio or case-study format.

9. Confidentiality

Both parties agree to protect non-public business, technical, and operational information exchanged during engagement. Confidential information will not be disclosed except where required by law or authorized in writing.

10. Disclaimer and Limitation of Liability

Services are provided on a commercially reasonable basis. Devswire is not liable for indirect, incidental, special, or consequential losses, including lost profits, lost opportunity, or data interruption caused by third-party systems, client actions, regulatory changes, or force majeure events.

11. Suspension and Termination

Devswire may suspend or terminate services for material breach, unlawful use, abusive behavior, or non-payment. Client may terminate as permitted under the relevant service agreement, subject to settlement of outstanding dues and transition obligations.

12. Governing Law and Disputes

These terms are governed by the applicable laws of Bangladesh unless another jurisdiction is agreed in writing. Parties will attempt good-faith resolution before initiating formal legal proceedings.

13. Updates to Terms

Devswire may update these Terms and Conditions to reflect operational, legal, or service changes. Updated versions become effective when published on this page unless otherwise stated.
